TERMS & CONDITIONS

1. Eligibility and Acceptance
   1. Only an active Amway Independent Business Owner (ABO) or Amway Exclusive Shopper (AES) at the time of enrollment is eligible to the Amway Subscription Plans. By submitting the completed and agreed Amway Subscription Plan Agreement (hereinafter referred to as 'Contract'), the applicants (hereinafter referred to as 'you') confirm eligibility and apply to operate the Amway Subscription Plans (hereinafter referred to as 'Subscription Plans') on the terms and conditions set forth in this document and in the incorporated documents. Once accepted, the Contract will be the effective Agreement between you and Amway Philippines, a limited liability company incorporated in the State of Delaware, USA, with a duly registered Philippine Branch with addressed at 828 Kentek Building, Arnaiz Avenue, Makati City Philippines ("Amway").
2. Acknowledgement of and Agreement to Contract Terms, Disclosures and Incorporate Documents
   1. You acknowledged having read and understood these Terms and Conditions of Contract and agreed to abide by them. You further acknowledge that as an IBO, you have received a copy of the Amway Philippines Business Guidebook (which contains the Rules of Conduct and the Amway Sales and Marketing Plan) and the Rules and Policies issued by Amway from time to time (collectively the Incorporated Documents). In the event of a conflict between any of the provisions of this Contract and any provision in the Incorporated Documents, the provision of this Contact shall control.
3. Term
   1. This Contract shall be effective upon Acceptance by Amway and shall expire as per the term enrolled. This Contract shall be renewable upon agreement of the parties, unless cancelled as defined in Paragraph 4 below.
4. Termination or Cancellation
   1. Either party to this Contract may terminate the Contract pursuant to the Provisions of the Rules of Conduct (i) at any time and for any reason by providing the other party with written notice of cancellation which shall be effective within thirty (30) days from receipt of such notice by the other party; or (ii) without prior notice and with immediate effect as a result of non-compliance by the other party with any of the terms of the Contract. To the extent permitted by applicable law, Amway reserves the right to take other measures as outlined in the Rules of Conduct before terminating the Contract, including suspending or withdrawing certain of your rights hereunder.
5. Modification of Terms
   1. Amway may modify the Terms and Conditions of this Contract, including the terms of any of the Incorporate Documents, in whole or in part, without liability to you, by providing notice to such changes
      
      by publication in ALEX Magazine, official Amway Literature, or Amway official website or by any other mechanism permitted under Applicable Law.
6. Assignment
   1. Neither the Contract, nor its rights and obligations, may be assigned, delegated or otherwise transferred by you without Amway's prior written consent. Only the Subscription Plans enrolled shall be allowed to transact with Amway Philippines relative to the implementation of this program.
7. Use of Name, Likeness, Quotes, etc.
   1. You specifically authorize Amway or its Affiliated companies to use, reproduce, alter, publish and license photographic and/or audiovisual materials depicting your image and/or recording of your voice as well as quotes or opinions that you have expressed, for marketing or other lawful purposes in any media.
8. Personal Data
   1. In order to carry out this Agreement, Amway may disseminate all or part of the information contained in this Contract, or subsequently generated by your activities pursuant hereto, to parties with whom Amway works to process such personal data, including ABOs in your upline or downline organization, both within and outside the Philippines. Amway’s collection, dissemination, and processing of personal information related to this Contract will be in accordance with the Privacy Notice for ABOs and Members (https://www.amwayglobal.com/privacy-notice/philippines/#abo), which, amongst others things, explains your data protection rights and how to exercise those
9. Applicable Law, Place of Jurisdiction
   1. This shall be governed and construed in accordance with the laws of the Philippines. In case of dispute, arising out of and in connection with this Contract, the exclusive place of jurisdiction shall be at the legal domicile of Amway.
10. Limitation of Liability; Indemnification
    1. To the maximum extent permitted by Law, Amway's sole liability for any loss or damage, liability claim, demand, cause of action or expense of any nature whatsoever, arising out of, or resulting from this Contract, the performance or breach hereof shall be the price of products/ product set purchased. Further, to the extent permitted by law, Amway shall not be liable for any indirect or consequential damages or losses incurred as a result of this Contract, the performance or breach hereof, including without limitation loss of profits. You shall indemnify and hold Amway harmless from and against any and all loss, damage, liability, claim, demand, cause of action and expense (including legal fees and expense) arising out of, or in connection with, your activities pursuant hereto or otherwise.
11. Notices
    1. Notices required under this Contract shall be made in writing or by e-mail (if authorized), to the addresses enrolled in Amway's database. You are responsible for notifying Amway, in writing, of any change in your address.
